Ohio LLC Cost: Average Fees Explained

Updated  5 sources

Articles of Organization

$99

Ohio makes forming an LLC straightforward. You file Articles of Organization with the Ohio Secretary of State, name a statutory agent, and pay a single fee. What changes the total is how fast you need the filing and whether you want a commercial agent.

Fees on this page come from the sources named in each table and were checked on Oct 11, 2026. Confirm current amounts with the Ohio Secretary of State before you pay.

Ohio LLC Filing Fees

The Articles of Organization are the one required filing. The other documents below are optional and come up in specific situations.

Ohio LLC state fees

Item Price
Name reservation $39
Statutory agent update $25
Certificate of Amendment $50
Certificate of Good Standing (standard) $5
Certificate of Good Standing (long form) $25

Reserving a name costs $39. Changing your statutory agent later costs $25, and a Certificate of Amendment, used to change the Articles, costs $50.

Proof of good standing comes in two forms. The standard certificate costs $5, and the long-form version costs $25, per ZenBusiness. Banks and lenders sometimes ask for one of these when you open an account or apply for credit.

How Much Does It Cost to Rush an Ohio LLC?

Ohio offers faster handling for an added fee. The faster you want the filing processed, the more it costs, and the quickest options require a walk-in.

Expedite add-ons

Item Price
2 business days $100
1 business day (walk-in) $200
4 hours (walk-in) $300

  • Two business days: $100
  • One business day, walk-in: $200
  • Four hours, walk-in: $300

Those amounts are on top of the filing fee. Most owners do not need the rush options. Standard processing creates the same LLC, and the extra cost only makes sense when a deal, a lease, or a bank account is waiting on it.

Ohio Statutory Agent Costs

Ohio calls its registered agent a statutory agent. Every LLC must have one with an Ohio address, someone who accepts legal and government mail for the company.

You can serve as your own agent if you live in Ohio and can receive documents at a physical address during business hours. Otherwise you pay a commercial service.

Why Ohio LLC Estimates Differ

Published guides mostly agree on Ohio's state fee, so comparisons are easier than in many states.

LLC University $99
TRUiC $99
Inc Authority $99

When you see a number higher than the state fee, look for what was added. Formation services charge their own fee, and a package may include an agent, an operating agreement, or expedited handling. Pricing from a formation company may also change by package tier.

Name Reservation and Other Add-Ons

A name reservation is worth buying only if you cannot file right away. If you are ready to file, the Secretary of State checks the name when it reviews your Articles, and a reservation adds a charge without speeding anything up. Check name availability on the Secretary of State's business search before you decide.

The same logic applies to good standing certificates. You do not need one to form the LLC. Order one when a bank, lender, or another state asks for it, and choose the standard or long form based on what the requester specifies.

Ongoing Costs to Plan For

Ohio does not require LLCs to file a yearly report, so there is no annual state filing fee to add to your budget. That does not mean there are no ongoing obligations. Keep your statutory agent and address up to date, and file an amendment if you change the company's details.

Taxes are a separate question. Ohio has its own tax rules for businesses, and federal obligations apply wherever you form. A guide to filing fees cannot tell you what your LLC will owe, so consult a licensed CPA, especially in your first year.

When Ohio Fees Add Up

Most Ohio LLCs pay one fee and little else. The total grows when you stack optional items: a reservation, a rush, a commercial agent, and a good standing certificate can each be skipped, so decide which ones your situation needs. If a bank or landlord is waiting on the LLC, the rush options may be worth it. If not, standard handling saves money with the same result.

Direct Filing or a Formation Service

Filing directly with the Secretary of State means paying the state fee only. A formation service handles the paperwork for an added charge and may bundle a year of agent service. Both routes produce the same LLC.

If you have co-owners, consider a written operating agreement. Ohio does not require you to file one, but it records how profits, decisions, and ownership changes are handled. A licensed attorney can draft one for your situation.
